These Terms of Service ("Terms") govern your use of Pinghand, a WhatsApp AI auto-reply service operated by AIC Holdings Limited ("we", "us", "our"), a company incorporated in Hong Kong. By creating an account or using the service, you agree to these Terms.

1. The Service

Pinghand provides software that automatically replies to WhatsApp messages sent to your business number using artificial intelligence. The service operates via the WhatsApp Business Cloud API provided by Meta Platforms, Inc.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your business. By using Pinghand, you confirm that you have a legitimate WhatsApp Business Account and comply with Meta's WhatsApp Business Policy.

You agree to use Pinghand only for lawful business communication. You must not use the service to:

4. Subscription and Payment

Pinghand is offered on a monthly subscription basis. Prices are in Hong Kong Dollars (HKD) and are subject to change with 30 days' notice. Subscriptions renew automatically unless cancelled. We use Stripe for payment processing. Refunds are not provided for partial months of service.

5. AI Replies and Accuracy

Pinghand uses AI to generate replies based on the business information you provide. We do not guarantee that AI-generated replies will always be accurate, appropriate, or complete. You are responsible for reviewing the AI's behaviour and ensuring replies meet your business standards. We recommend monitoring conversations regularly, especially during initial setup.

6. Data and Privacy

Your use of Pinghand is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Availability

We aim to provide a reliable service but do not guarantee 100% uptime. The service may be interrupted for maintenance, updates, or due to third-party service disruptions (including WhatsApp/Meta outages). We are not liable for losses resulting from service interruptions.

8. Limitation of Liability

To the maximum extent permitted by Hong Kong law, AIC Holdings Limited shall not be liable for any indirect, incidental, or consequential damages arising from your use of Pinghand, including lost revenue, lost data, or reputational damage. Our total liability shall not exceed the amount you paid for the service in the 3 months preceding the claim.

9. Termination

You may cancel your subscription at any time from the billing section of your dashboard. We may suspend or terminate your account if you violate these Terms or Meta's policies, with or without notice.

10. Changes to Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the service after changes constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
